While eukaryotic cells have complex structures consisting of inner membranes, cytoskeleton and a nucleus, prokaryotic cells do not contain nuclei and other membrane-bound organelles.

One big difference these cells have is the shape of their DNA. The prokaryotic cell DNA is generally circular, and has no association with histone proteins.  On the other hand, DNA from eukaryotic cells is linear, is within the nucleus, and is associated with histones.
