Cell theory states that all organisms are made of the cell. Cells acts as the functional and structural unit of the organism. The cell theory was proposed by Scheldien and Schwann.
The new organism arise from the pre existing orgainsms in the cell theory. The cell theory never states that all living organism contains the membrane bound nucleus. The prokaryotes lacks the membrane bound nucleus and follows all the rule of cell theory.
